These Terms and Conditions (hereinafter "Terms") govern your participation as a "Preferred Partner" in the C.A.V.E. Preferred Partner Network (hereinafter "Network"), operated by Community and Veteran Events (C.A.V.E.) (hereinafter "C.A.V.E.", "we", "us", or "our"). By applying to and participating in the Network, you ("Partner", "you", or "your organization") agree to be bound by these Terms.

1. Definitions

• C.A.V.E.: Refers to Community and Veteran Events, the operator of the Network.

• Partner/Your Organization: The individual or entity applying to and participating in the Network.

• Network: The C.A.V.E. Preferred Partner Network, a platform for businesses and organizations to gain exposure through C.A.V.E.'s channels.

• Services: The benefits and advertising opportunities provided by C.A.V.E. to Partners as outlined in their chosen Partnership Plan.

• Partner Content: All materials provided by the Partner to C.A.V.E. for display within the Network, including but not limited to logos, company names, descriptions, website links, and social media handles.

• Partnership Plan: The specific advertising package chosen by the Partner (Monthly Impact, 6-Month Momentum, or Platinum).

2. Eligibility

Participation in the Network is open to businesses and organizations that:

• Operate legally and hold all necessary licenses and permits.

• Agree to adhere to these Terms and uphold the values and positive reputation of C.A.V.E.

• Are not involved in activities that are illegal, discriminatory, offensive, or otherwise harmful to the community C.A.V.E. serves. C.A.V.E. reserves the right to deny or terminate partnership at its sole discretion based on eligibility criteria.

3. Partnership Plans & Fees

3.1. Plans: C.A.V.E. offers the following Partnership Plans: Monthly Impact Plan, 6-Month Momentum Plan, and Platinum Plan, each with specific benefits and fees as detailed on the C.A.V.E. Preferred Partner Network page. 3.2. Fees: All fees are clearly stated for each Partnership Plan. Payment for the chosen commitment period is required upfront. 3.3. Payment Terms: Payment must be made in full upon approval of your application and receipt of an invoice from C.A.V.E. Services will commence upon successful payment processing. 3.4. Non-Refundable: All fees paid for participation in the Network are non-refundable, except as explicitly stated in these Terms (e.g., termination by C.A.V.E. for reasons other than Partner breach).

4. Partner Content Submission & Usage

4.1. Submission: Partners must submit all required Partner Content (logo, description, links) via the official application form. 4.2. Content Standards: Partner Content must be accurate, truthful, and free from any content that is illegal, defamatory, obscene, infringing, or otherwise objectionable or harmful. 4.3. License: By submitting Partner Content, you grant C.A.V.E. a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Partner Content on the C.A.V.E. website, newsletters, social media channels, and any other promotional materials related to the Network. 4.4. Right to Review/Reject: C.A.V.E. reserves the right, at its sole discretion, to review, edit, or reject any Partner Content that does not meet its standards or that C.A.V.E. deems inappropriate or inconsistent with its brand or mission. C.A.V.E. will notify the Partner of any such rejection or required edits. 4.5. Accuracy: Partners are solely responsible for the accuracy and legality of their Partner Content and for ensuring it does not infringe upon the rights of any third party.

5. C.A.V.E.'s Services & Benefits

5.1. C.A.V.E. will provide the Services and benefits as outlined for the Partner's chosen Partnership Plan on the C.A.V.E. Preferred Partner Network page. 5.2. Placement: While C.A.V.E. will endeavor to display Partner Content prominently as per the chosen plan (e.g., Platinum Partners in a top slot), specific placement, order, or rotation within a section is at C.A.V.E.'s sole discretion. 5.3. Changes to Services: C.A.V.E. reserves the right to modify, add, or discontinue any of its Services or benefits at any time, provided that, for existing Partners, any significant reduction in core benefits will be communicated with reasonable notice.

6. Term & Renewal / Cancellation Policy

6.1. Term: Your partnership term will commence upon full payment of the applicable fees and continue for the duration of your chosen Partnership Plan (e.g., one month, six months, one year). 6.2. Renewal: * Monthly Impact Plan: This plan operates on a month-to-month basis and will automatically renew for successive one-month terms unless cancelled by the Partner. * 6-Month Momentum & Platinum Plans: These plans are for a fixed term (6 months or 1 year, respectively) and will expire at the end of their respective terms. C.A.V.E. will notify Partners of upcoming expiration and invite them to renew. These plans do not auto-renew unless explicitly agreed upon otherwise. 6.3. Cancellation Policy: All fees paid for participation in the Network are non-refundable. If a Partner on a Monthly Impact Plan cancels, the cancellation will become effective at the end of the then-current paid monthly term, and no refund will be issued for any unused portion of that term. For 6-Month Momentum and Platinum Plans, cancellation does not result in a refund of prepaid fees. All cancellation inquiries and questions regarding pre-payment/no refunds should be sent to Invoices@CommunuityandVeteranEvents.com.

7. Termination

7.1. By Partner: A Partner may terminate their partnership at any time, but no refunds for prepaid fees will be issued, except as required by law. 7.2. By C.A.V.E.: C.A.V.E. may terminate a partnership immediately if: * The Partner breaches any of these Terms. * Partner Content is found to be fraudulent, harmful, illegal, or inconsistent with C.A.V.E.'V.E.'s values. * The Partner engages in conduct detrimental to C.A.V.E. or the Network. * Payment for Services is not received or is charged back. * C.A.V.E. decides to discontinue the Network. 7.3. Effect of Termination: Upon termination due to Partner breach, Partner Content will be removed from the Network within 48 hours. In all other cases of termination by C.A.V.E., Partner Content will be removed within a reasonable timeframe. No refunds will be issued for termination due to Partner's breach.

8. Representations and Warranties

You represent and warrant that:

• You have the full right and authority to enter into this Agreement and grant the licenses herein.

• Your Partner Content does not and will not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.

• Your Partner Content complies with all applicable laws and regulations.

9. Disclaimer of Warranties

THE NETWORK AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. C.A.V.E. DOES NOT GUARANTEE SPECIFIC IMPRESSIONS, CLICKS, LEADS, SALES, OR ANY OTHER PARTICULAR RESULTS FOR PARTNERS. YOUR PARTICIPATION IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, C.A.V.E. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE NETWORK; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE NETWORK; (C) ANY CONTENT OBTAINED FROM THE NETWORK; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT C.A.V.E. HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. C.A.V.E.'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR PARTICIPATION IN THE NETWORK WILL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU TO C.A.V.E. IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless C.A.V.E., its officers, directors, employees, agents, and affiliates, from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with (a) your access to or use of the Network; (b) your breach of these Terms; (c) your violation of any law or the rights of a third party; or (d) any Partner Content you submit.

12. Intellectual Property

All content, trademarks, service marks, and logos displayed on the C.A.V.E. website (excluding Partner Content) are the exclusive property of C.A.V.E. or its licensors. You may not use C.A.V.E.'s intellectual property without prior written consent.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or the Network shall be resolved exclusively in the state or federal courts located in Tacoma, Washington.

14. Amendments

C.A.V.E. reserves the right to modify or update these Terms at any time. We will notify Partners of significant changes via email or prominent notice on the Network page. Your continued participation in the Network after any such modifications constitutes your acceptance of the revised Terms.

15. Entire Agreement

These Terms constitute the entire agreement between you and C.A.V.E. regarding your participation in the Network and supersede all prior or contemporaneous understandings and agreements, whether written or oral.
